Welcome to mbassat. By accessing or using mbassat, you agree to comply with and be bound by these Terms & Conditions. If you do not agree to these Terms, you may not use the platform.

1. Definitions
- "mbassat" means the cloud-based software platform provided by TheBluChip Company for Information Technology
- “Customer” means any business entity or authorized user subscribing to or using mbassat
- “Subscription” means active paid access to mbassat services
- “User” means any individual authorized by the Customer to access the platform
- “Branch” means any operational location managed within mbassat
2. Description of Service
mbassat is a cloud-based software platform designed to simplify sales operations and electronic invoicing for businesses in the Kingdom of Saudi Arabia.
The platform includes features related to:
- Quotations
- Sales orders
- Invoices
- Quick sales / point of sale
- Customer statements
- Collections
- Electronic invoicing workflows compliant with ZATCA requirements
mbassat is provided as a standardized Software-as-a-Service (SaaS) platform and does not include custom development services unless separately agreed to in writing.
mbassat reserves the right to improve, modify, replace, suspend, or discontinue certain features, functionalities, or services at any time as part of ongoing platform development and operational requirements.
3. Account Registration
The Customer agrees to provide accurate, complete, and up-to-date information during registration and throughout the use of the platform.
The Customer is responsible for maintaining the confidentiality of account credentials and for all activities conducted through the account.
mbassat may suspend or restrict access to accounts containing false, misleading, incomplete, or suspicious information.
4. Subscription & Billing
mbassat offers subscription-based access to the platform under the pricing plans published on the official website or otherwise communicated by mbassat.
The current pricing plans include:
- Small Business Pricing
- Standard Pricing
Subscription fees are billed in advance on either a monthly or yearly basis.
Customers choosing yearly billing may receive promotional yearly pricing benefits, including one month free when applicable.
All prices are exclusive of applicable taxes unless otherwise stated.
mbassat reserves the right to modify subscription pricing upon prior notice to customers.
5. Trial Period
mbassat may provide eligible customers with a limited free trial period of up to three (3) days.
mbassat reserves the right to limit, modify, suspend, or cancel trial access at its discretion.
No refunds shall be issued once a paid subscription has been activated.
6. Additional Users
Each subscription includes the number of users specified under the selected subscription plan.
Additional users may be added for additional monthly or yearly fees according to the applicable pricing.
mbassat reserves the right to restrict, suspend, or review accounts showing abnormal, excessive, automated, or suspicious user activity.
7. Grace Period & Account Suspension
Customers will receive a grace period of up to five (5) days after the subscription renewal due date.
During the grace period, all platform features and services shall remain active.
If payment is not received after the grace period:
- Issuance of invoices and creation of new transactions may be disabled
- The Customer may continue to access the platform in read-only mode for up to thirty (30) days from the subscription due date
During the read-only period, the Customer may continue to:
- View records
- Print invoices and reports
- Export available business data
If the subscription remains unpaid for more than thirty (30) days from the due date:
- The account may become inactive
- Access to the platform may be suspended
- A copy of the Customer’s available business data may be sent to the registered email address
Inactive account data may be archived for up to ninety (90) days for recovery purposes, after which such data may be permanently deleted.
mbassat shall not be responsible for any loss resulting from the Customer’s failure to renew the subscription or export data within the specified periods.
8. Fair Usage & Acceptable Conduct
The Customer agrees to use mbassat in accordance with applicable laws and regulations within the Kingdom of Saudi Arabia.
The following activities are prohibited:
- Fraudulent or unlawful invoicing
- Submission of misleading or false information
- Unauthorized access attempts
- Reverse engineering
- Credential sharing
- Automated abuse
- Excessive abnormal usage
- Misuse of ZATCA-related workflows
- Any activity that may negatively affect the platform or other users
mbassat reserves the right to investigate suspicious activity and may suspend, restrict, or terminate accounts where misuse, abuse, fraud, or security concerns are identified.
9. Customer Responsibilities
The Customer remains solely responsible for:
- The accuracy of business information
- Customer information
- Invoice content
- Accounting records
- Tax exemptions and classifications
- Compliance with applicable laws and regulations
mbassat provides standardized tax configurations aligned with applicable ZATCA requirements; however, the Customer remains responsible for ensuring the correctness and applicability of tax treatments used within the platform.
The Customer is responsible for maintaining secure access credentials and ensuring that authorized users use the platform appropriately.
10. ZATCA & Compliance Disclaimer
mbassat is designed to support electronic invoicing workflows and related operational processes.
mbassat does not provide legal, tax, accounting, or regulatory advisory services.
The Customer remains solely responsible for:
- Compliance with applicable regulations
- Invoice accuracy
- Tax reporting obligations
- All information submitted through the platform
mbassat may update invoicing workflows, validations, tax configurations, or platform behavior to align with operational requirements or regulatory changes.
11. Intellectual Property
mbassat, including its software, design, workflows, logos, branding, user interface, databases, documentation and related materials, is the exclusive property of TheBluChip Company for Information Technology or its licensors.
The Customer is granted a limited, non-exclusive, non-transferable right to access and use the platform during the active subscription period.
The Customer may not:
- Copy
- Reproduce
- Distribute
- Resell
- Modify
- Reverse engineer
- Commercially exploit
Any part of the platform without prior written authorization from mbassat.
Any feedback, suggestions, recommendations, or enhancement ideas submitted by the Customer may be used by mbassat without restriction or compensation.
12. Data Ownership & Export
The Customer retains ownership of business data submitted to or generated within mbassat.
mbassat may process, store, organize, back up, and transmit such data solely for the purpose of providing and operating the platform and related services.
During active subscriptions and applicable read-only periods, the Customer may export available business data using the export tools provided within the platform.
mbassat does not guarantee compatibility with third-party systems, custom migration requirements, or specialized export formats unless otherwise agreed in writing.
The Customer is responsible for maintaining independent copies of exported data where necessary.
13. Service Availability & Infrastructure
mbassat uses commercially reasonable efforts to maintain platform availability, security, and operational continuity.
However, mbassat does not guarantee uninterrupted or error-free operation of the platform at all times.
The platform may become temporarily unavailable due to:
- Maintenance
- Upgrades
- Infrastructure issues
- Internet disruptions
- Third-party service interruptions
- Regulatory requirements
- Circumstances beyond reasonable control
mbassat may perform maintenance, upgrades, or operational changes without prior notice where reasonably necessary for platform stability, security, or compliance purposes.
mbassat shall not be liable for interruptions or limitations caused by third-party providers, governmental systems, telecommunications providers, payment gateways, or external infrastructure dependencies.
14. Support Services
mbassat may provide support services through:
- In-app support tickets
- WhatsApp communication
- Email support
Support services are provided on a commercially reasonable efforts basis and may vary depending on operational capacity, issue severity, business hours, and communication channels.
mbassat does not guarantee fixed response times, uninterrupted support availability, or immediate resolution of all issues.
Training, onboarding assistance, data migration, or custom implementation services may be subject to separate agreements or additional fees.
15. Privacy & Confidentiality
mbassat is committed to protecting Customer information and maintaining commercially reasonable security measures to safeguard business data against unauthorized access, misuse, alteration, or disclosure.
mbassat may collect and process information related to:
- Account registration
- Subscription management
- Billing
- Support requests
- Platform usage
- Device/browser information
- Operational analytics
Customer data may be processed, stored, backed up, or transmitted using trusted infrastructure providers and service partners necessary for operating the platform.
mbassat shall not sell Customer business data to third parties.
mbassat may disclose information where required by:
- Applicable laws
- Regulatory authorities
- Court orders
- Governmental requests
- Compliance obligations
Both parties agree not to disclose confidential information obtained through the use of the platform except where legally required or operationally necessary.
mbassat may use aggregated and non-identifiable usage information for operational analysis, platform improvement, analytics and service optimization purposes.
16. Limitation of Liability
mbassat is provided on an “as available” and “as is” basis.
To the maximum extent permitted by applicable law, mbassat shall not be liable for:
- Indirect damages
- Consequential damages
- Loss of profits
- Business interruption
- Tax penalties
- Data loss
- Reputational damages
- Losses resulting from the use or inability to use the platform
mbassat shall not be responsible for:
- Customer-entered data
- Incorrect invoice content
- Tax classifications
- Accounting treatment
- Customer misuse
- Third-party service interruptions
- Internet failures
- Governmental platform outages
- External infrastructure failures
The total liability of mbassat arising from or related to the use of the platform shall not exceed the subscription fees paid by the Customer during the previous twelve (12) months.
17. Suspension & Termination
mbassat reserves the right to suspend, restrict, or terminate access to the platform in cases including but not limited to:
- Non-payment
- Fraudulent activity
- Suspicious invoicing
- Abuse of the platform
- Violations of applicable laws
- Security threats
- Violation of these Terms & Conditions
The Customer may stop using the platform or cancel the subscription at any time in accordance with applicable subscription procedures.
Termination or suspension of the subscription does not waive any outstanding financial obligations owed by the Customer.
18. Force Majeure
mbassat shall not be liable for delays, interruptions, or failure to perform resulting from events beyond reasonable control, including but not limited to:
- Natural disasters
- Wars
- Governmental actions
- Cyberattacks
- Telecommunications failures
- Internet outages
- Infrastructure disruptions
19. Governing Law & Jurisdiction
These Terms & Conditions shall be governed by and interpreted in accordance with the laws and regulations of the Kingdom of Saudi Arabia.
Any disputes arising from or related to the platform shall be subject to the exclusive jurisdiction of the competent courts within the Kingdom of Saudi Arabia.
In the event of any conflict between the Arabic and English versions, the Arabic version shall prevail.
